These Terms of Service (“Terms”) are a contract between you and OFB Media LLC (“Proven.homes”, “we”, “us”) governing your use of the website and services at proven.homes (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You’re responsible for your account, for keeping your credentials secure, and for all activity under your account. Provide accurate information and keep it current.

2. The Service

Proven.homes helps users create, organize, verify, and share home and property records and condition information, and offers related paid products (see §4). Different user types (homeowners, service providers, agents/brokerages, enterprise/insurer users, buyers) get different features.

3. Informational service — NOT a brokerage, inspection, or appraisal

This is important. Read it.

• Proven.homes is an information and records platform. We are not a licensed real-estate brokerage, home inspector, appraiser, contractor, insurer, lender, or law firm, and we do not provide real-estate brokerage, inspection, appraisal, legal, financial, or insurance services or advice.
• Our scores (including “truth score” and “health score”), record extractions, AI-generated summaries, and condition estimates are informational estimates based on available data and automated processing. They are not guarantees, warranties, certifications, appraisals, or professional advice, and may be incomplete or inaccurate.
• You are responsible for independently verifying any information before relying on it for a purchase, sale, insurance, lending, or other decision. Always engage your own licensed professionals.
• Where you use the Service to prepare a home for sale or to sell without an agent (“FSBO”), you remain solely responsible for complying with all applicable real-estate disclosure, contract, and licensing laws in your jurisdiction.

4. Paid products, billing & cancellation

• Products & subscriptions. We offer one-time purchases (e.g. a $99 FSBO/sale-prep unlock, reports, ad credits) and recurring subscriptions (e.g. Owner, Agent, and Brokerage per-seat plans). Prices and what’s included are shown at checkout.
• Payments. Payments are processed by Stripe; by purchasing you also agree to Stripe’s terms. We don’t store your full card details.
• Recurring billing. Subscriptions renew automatically each billing period until cancelled. You authorize us (via Stripe) to charge your payment method each period.
• Cancellation. You may cancel a subscription at any time through your account / billing portal; cancellation takes effect at the end of the current paid period.
• Refunds. Subscriptions are non-refundable for the current billing period; you can cancel future renewals at any time. One-time products (such as the FSBO / sale-prep unlock, reports, and ad credits) are non-refundable once the associated work or delivery has begun. We may, at our sole discretion, issue refunds on a case-by-case basis. Nothing here limits any refund right you have under applicable law.
• Taxes. Prices may exclude applicable taxes, which we may add at checkout.
• Changes. We may change prices or plans prospectively with reasonable notice; changes don’t affect the period you’ve already paid for.

5. Your content and the rights you grant us

• You keep ownership of the documents, photos, records, and other content you upload (“Your Content”).
• You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, display, and share Your Content as needed to operate and provide the Service to you — including processing it with AI subprocessors (see Privacy Policy §4) and showing it to users you direct it to (e.g. an agent, buyer, or via a public provider profile).
• You represent that you own or have the rights to Your Content and that it doesn’t violate anyone’s rights or the law.

6. Acceptable use

You agree not to:

• upload content you don’t have the right to, or that’s unlawful, infringing, defamatory, or fraudulent;
• misrepresent property condition, records, credentials, or your identity;
• attempt to access accounts or data that aren’t yours, probe or breach security, or circumvent rate limits or access controls;
• scrape, resell, or bulk-extract data except via an authorized API agreement;
• use the Service to send spam or to harass other users;
• interfere with or disrupt the Service.

7. Provider, agent & business-user terms

If you list a business profile, manage records, or use B2B/API access, you additionally agree to: keep your professional information accurate; respond to record disputes in good faith; and use any API only within your agreed quota and terms. We may suspend or remove profiles or records that are inaccurate, disputed, or violate these Terms.

8. Third-party services & links

The Service integrates third-party services (Stripe, Google/Microsoft sign-in, and others listed in the Privacy Policy) and may link to third-party sites. We’re not responsible for third-party services or content; your use of them is governed by their terms.

9. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or for prolonged inactivity. Sections that by their nature should survive termination (ownership, disclaimers, liability limits, dispute terms) survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RECORD, SCORE, OR AI OUTPUT IS ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVEN.HOMES AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Proven.homes and its operators from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

13. Governing law & disputes

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona for any dispute arising out of or relating to these Terms or the Service.

14. Changes to these Terms

We may update these Terms. We’ll post the new effective date and, for material changes, give reasonable notice. Continued use after changes means you accept them.
